1. Acceptance of Terms
By accessing or using the Studio Soleil website (the "Site") or engaging our interior design services (the "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.
If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to the Site. Your continued use of the Site or Services after changes are posted constitutes acceptance of the modified Terms.
2. Services Description
Studio Soleil provides professional interior design services including, but not limited to:

Full-Service Design: Comprehensive interior design including space planning, design concepts, procurement, project management, and installation

Design-Only Package: Design plans, specifications, and shopping lists for client implementation

Virtual Consultation: Remote design guidance and recommendations via video conference
Service descriptions, pricing, and deliverables are outlined in individual service agreements or proposals provided to clients. Specific project details, timelines, and terms will be documented in a separate contract between Studio Soleil and the client.
3. Use of Website
Permitted Use: You may use our Site for lawful purposes only. You agree not to:

4. Intellectual Property Rights
Ownership: All content on the Site, including text, graphics, logos, images, photographs, design work, and software, is the property of Studio Soleil or its licensors and is protected by copyright, trademark, and other intellectual property laws.
License to Use: We grant you a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. You may not modify, distribute, transmit, display, reproduce, publish, license, or create derivative works from Site content without our express written permission.
Design Work: All design concepts, drawings, renderings, specifications, and other creative work ("Design Work") produced by Studio Soleil remain our intellectual property until full payment is received. Upon full payment, clients receive a license to use the Design Work for the specific project outlined in the service agreement.
Clients may not reproduce, distribute, or use Design Work for other projects or locations without written permission and additional compensation.
5. Client Responsibilities
When engaging our services, clients agree to:

Provide accurate, complete information about the project, budget, and timeline

Grant reasonable access to the property for measurements, site visits, and installation

Respond to design presentations and requests for feedback in a timely manner

Obtain necessary permissions, permits, or approvals from landlords, HOAs, or authorities
Decision Making:

Review and approve design proposals, material selections, and purchases within agreed timelines

Understand that delays in approvals may impact project timelines and costs
Payment:

Make payments according to the agreed schedule outlined in the service agreement

Understand that work may pause if payments are not received as scheduled
Cooperation:

Work collaboratively and professionally with Studio Soleil and any contractors or vendors

Communicate concerns or issues promptly
6. Payment Terms
Pricing: All pricing is outlined in individual proposals or service agreements. Prices are subject to change and are not guaranteed until a signed agreement is in place.
Payment Schedule: Payment terms vary by service type and are specified in each service agreement. Typical payment structures include:

Design fees: Split into milestone payments (e.g., 50% retainer, 50% upon design approval)

Furniture and materials: Payment before ordering (typically 50% deposit, 50% before delivery)

Virtual consultations: Payment in full upon booking

Payment Methods: We accept payment via credit card, bank transfer, check, or other methods as agreed. A processing fee may apply to certain payment methods.
Late Payments: Payments not received within 7 days of the due date may incur a late fee of 1.5% per month (18% annually) or the maximum allowed by law, whichever is less. We reserve the right to pause work on projects with outstanding balances.
Taxes: All prices are exclusive of applicable taxes, which will be added to invoices where required.
7. Project Timeline and Delays
Timeline Estimates: Project timelines provided are estimates based on typical lead times and assume timely client approvals and payments. Actual timelines may vary due to factors beyond our control.
Delays: We are not responsible for delays caused by:

Client delays in providing approvals, access, or information

Vendor delays in manufacturing, shipping, or delivery

Contractor scheduling or performance issues

Changes in project scope or design direction

Force majeure events (natural disasters, pandemics, labor strikes, etc.)

Product discontinuation or unavailability
Communication: We will communicate any anticipated delays promptly and work to minimize impact on project completion.
8. Revisions and Scope Changes
Included Revisions: Each service package includes a specified number of revision rounds as outlined in the service agreement (typically two comprehensive revisions for design packages).
Additional Revisions: Revisions beyond what is included in your package may incur additional fees. We will provide a quote for additional revision work before proceeding.
Scope Changes: Changes to the project scope—such as adding rooms, changing design direction significantly, or requesting services not included in the original agreement—may require a revised proposal and additional fees.
We will document all scope changes in writing and obtain client approval before proceeding with additional work.
9. Cancellation and Refunds
Client Cancellation: Clients may cancel services by providing written notice. Refunds will be determined based on work completed:

Before work begins: Full refund minus a $500 administrative fee

After initial consultation but before design presentation: Refund of 50% of design fee

After design presentation: No refund of design fees; client retains all completed Design Work

Furniture and materials: Items ordered but not yet received may be cancelled subject to vendor policies; custom or special-order items are non-refundable
Studio Soleil Cancellation: We reserve the right to cancel or refuse services at any time. If we cancel after receiving payment, we will refund all fees for work not yet completed.
Project Pause: Clients may pause projects for up to 60 days without penalty. Longer pauses may require rescheduling and availability cannot be guaranteed.
10. Warranties and Disclaimers
Design Services: We provide professional interior design services with reasonable care and skill. However, we make no warranties that:

Designs will achieve specific aesthetic or functional outcomes

Products will perform exactly as anticipated

Contractors will execute work perfectly
-
Installations will be completely free from minor imperfections
Third-Party Products: We are not manufacturers or sellers of furniture, materials, or fixtures. Products are warranted only to the extent provided by their manufacturers. We assist with warranty claims but are not responsible for product defects or failures.
